ARTICLE I - Name of the Organisation
The Organization shall be called the International Association of Lawyers Against Nuclear Arms (IALANA).

ARTICLE II - Objectives
1. The overriding goals of IALANA are the complete elimination of nuclear arms and the prevention of nuclear war.
2. IALANA will work to engender respect by all nations for international law, especially arms control treaties and other arrangements associated with the prevention of nuclear war.
3. IALANA will encourage the steady development of effective mechanisms for the peaceful settlement of international disputes and will promote norms and institutions that will produce an effective peace system for the world community
4. IALANA shall provide coordination among existing organizations of lawyers working for the prevention of nuclear war and shall assist in the forming of such organizations in nations and regions where they do not exist.

ARTICLE III - Membership
1. IALANA is open for membership to all organizations of lawyers that support its objectives.
2. IALANA is also open for membership to individuals in appropriate circumstances.
3. An application for membership by an organization shall state the name of the organization, the names of its officers and the size of its membership. It shall be accompanied by a copy of the statutes of the organization.
4. The member-organizations shall at reasonable intervals provide IALANA with information regarding their activities.
5. Any member may withdraw from IALANA upon written notice.

ARTICLE IV - Observer-status
Organizations of non-lawyers supporting IALANA's objectives, may obtain a non-voting observer status.

ARTICLE V - Governing bodies
1. The supreme body of IALANA is the General Assembly.
2. A Board of Directors shall be established.
3. An Executive Committee shall be established.

ARTICLE VI - General Assembly
1. The General Assembly shall be composed of one representative from each member-organization.
2. The General Assembly shall meet at an International Congress at least every third year. The names of the representatives shall be communicated by their respective organizations to the Executive Committee at least one month before the Congress.
3. Subject to the provisions of Article VIII and Article IX, decisions by the General Assembly shall be made by a majority of the representatives present and voting provided that one third or more of the member-organizations participate.
4. Each nation shall have one vote in the General Assembly. The Executive Committee upon prior application may in its discretion also confer votes upon other appropriate entities. Individual members may participate in the meetings of the General Assembly but shall have no voting rights.
5. The General Assembly shall elect three Co-Presidents and three Vice-Presidents. No vice-president shall be of the same nationality as a president. The General Assembly shall also elect a Secretary, a Treasurer and an Auditor, and may elect a Counselor.
6. An officer of IALANA shall be a member of a member-organization. The terms of each officer shall commence at the close of the General Assembly at which he was elected and shall last until the end of the following General Assembly.
7. In the event of vacancy, the Executive Committee shall elect an interim officer to fill the vacancy until the next meeting of the General Assembly.
8. Between Congresses, the General Assembly shall meet upon the request of at least ten member-organizations or upon a decision by the Executive Committee to act on important matters.
9. At a General Assembly meeting observers from international and other organizations with whom IALANA shares common goals may be present. The meeting may permit such observers to speak but not to vote.

ARTICLE VII - Board of Directors
1. The Board of Directors shall be composed of, but not necessarily restricted to, the Co-Presidents, the Vice Presidents, the Secretary and the Treasurer, and ex officio the Counselor. It may consist of no more than twelve members.
2. The Board of Directors shall support and supervise the Executive Committee in the performance of its task.
3. The Board of Directors shall seek to make decisions by consensus. If this proves impossible, decisions of the Board of Directors shall be made by simple majority. However, on request of at least three members a matter before the Board of Directors shall be referred for resolution to the General Assembly.
4. The Board of Directors shall meet at least annually

ARTICLE VIII - Executive Committee
1. The Executive Committee shall be composed of the Co-Presidents, the Secretary and the Treasurer.
2. The Executive Committee shall conduct all current affairs of IALANA, implement the policy of the organization and initiate activities aimed at the achievement of the goals of IALANA.
3. The Executive Committee shall seek to make decisions by consensus. If this proves impossible, decisions of the Executive Committee shall be made by simple majority. However, on request of at least two members a matter before the Executive Committee shall be referred for resolution to the Board of Directors.
4. The Executive Committee shall appoint an Executive Director, who shall be in charge of the management of IALANA and be responsible to the Executive Committee. He or she shall be a member of a member-organization of IALANA.
5. The Executive Committee shall appoint an Academic Council and may appoint advisory bodies as necessary.
6. The Executive Committee shall meet at least annually.
7. The primary location of the Executive Committee shall be in The Hague, The Netherlands.
8. The Executive Committee shall examine applications for membership of IALANA and admit new members.

ARTICLE IX - Finances
1. The financial resources of IALANA shall consist of annual contributions from the member-organizations, voluntary contributions from individual members and donations from persons, organizations and governments interested in supporting the activities of IALANA.
2. The minimum contributions from member-organizations shall be decided by the General Assembly upon recommendation from the Executive Committee and may be adjusted to reflect the resources of the respective member-organization.
3. The annual contributions shall be made to the account of IALANA before July 1 of each year.
4. The Treasurer shall be responsible for the collection, maintenance and disbursement of the funds of IALANA. He or she shall also be responsible for keeping the accounts and presenting a budget. The Auditor shall annually examine the accounts and report his/her findings to the Executive Committee.
5. Upon report of the Auditor the Executive Committee shall submit the accounts of the preceding years for approval by the General Assembly at an International Congress. It shall also submit to the General Assembly a budget for approval to cover the period until the next Congress.

ARTICLE X - General Provisions
1. A proposal for amendment of these Statutes shall be distributed to the members at least three months before a meeting of the General Assembly. An amendment requires the approval of two-thirds of the representatives present and voting, provided that one third or more of the member-organizations participate.
2. A member who fails to comply with these Statutes may, upon notice of one year and upon the recommendation of the Executive Committee, be removed from the rolls by a majority of two-thirds of the representatives present and voting at a General Assembly session, provided that one third or more of the member-organizations participate.
3. The official language of IALANA for the time being is English.
4. The dissolution of IALANA requires the approval of the General Assembly. In the event of dissolution, the property of IALANA shall be transferred to other bodies as determined by the General Assembly to be spent on activities connected with the prevention of nuclear war. Decisions mentioned in this paragraph require two-thirds of the representatives present and voting, provided that one third or more of the member-organizations participate.
